Item 8.01. Other Events.

On January 22, 2015, Koppers Holdings Inc. (the “Company”) issued a press release announcing that its wholly-owned subsidiary, Koppers Inc., has postponed its previously announced private offering of $400 million aggregate principal amount of senior notes due 2020.

In a separate press release, the Company also announced the termination of the previously announced tender offer by Koppers Inc., for any and all of Koppers Inc.’s outstanding 7.875% Senior Notes due 2019.

Copies of both press releases are attached to this Current Report on Form 8-K and are incorporated by reference into this Item 8.01.

Koppers Inc. Announces Postponement of Proposed Private Offering

PITTSBURGH, January 22, 2015 – Koppers Inc., a wholly-owned subsidiary of Koppers Holdings Inc. (NYSE: KOP), announced today that it is postponing its previously announced private offering of $400 million aggregate principal amount of senior notes due 2020.

“While we remain interested in an offering, we can afford to be patient, as this offering was opportunistic in nature,” said Michael J. Zugay, chief financial officer. “Given current volatility in the markets, we prefer to postpone our offering at this time. We will potentially revisit an offering in the future if market conditions become more favorable.”

Koppers Inc. Announces Termination of Tender Offer For Its

7.875% Senior Notes due 2019

PITTSBURGH, January 22, 2015 – Koppers Inc., a wholly-owned subsidiary of Koppers Holdings Inc. (NYSE: KOP), announced today that it has terminated its previously announced tender offer to purchase all of its issued and outstanding 7.875% Senior Notes due 2019 (the “Senior Notes”) and related solicitation of consents to certain proposed amendments to the indenture governing the Senior Notes.

The tender offer is being terminated because Koppers Inc.’s previously announced private offering of new senior notes has been postponed due to perceived unfavorable market conditions. As a result of the termination, none of the Senior Notes that have been tendered in the tender offer will be accepted for purchase and no consideration will be paid or become payable to holders of Senior Notes who have tendered their Senior Notes in the tender offer. All Senior Notes previously tendered and not withdrawn will be promptly returned or credited back to their respective holders, and all consents previously delivered and not revoked will be of no force and effect.

The tender offer was subject to the conditions set forth in the offer to purchase and consent solicitation statement and the related letter of transmittal and consent, each dated as of January 14, 2015. These conditions included, among others, the consummation of a notes offering in which Koppers Inc. obtains new debt financing yielding gross proceeds of at least $300.0 million.

This news release confirms the formal termination of the tender offer. Koppers Inc. reserves the right to initiate a new tender offer at a later date, but it is under no obligation to do so.
